Persons will be eligible to serve as members of the Board if they are qualified voters of the district and have been residents within the district for one year immediately preceding the election.
No person who is an employee of the district will be eligible to serve as a member of the Board while so employed.
Duties of the Board of Education
The Board of Education, in keeping with the requirements of Oregon law and the rules and regulations set by the State Board of Education, shall provide community college services for the community, establish and administer general policies for the operation of Columbia Gorge Community College, and act as a general agent of the State in carrying out the will of the district in the matter of public education. In carrying out these functions, the Board of Education recognizes the responsibilities for following definite, specific duties:
- To select a President, and support him/her in the discharge of his/her duties.
- To set salaries of the President and administrative personnel.
- To consider and act upon policies for the Columbia Gorge program as presented to them by the President or an appropriate agent designated by him/her.
- To require and evaluate reports from the President or appropriate agents designated by him/her, regarding both the educational program and financial status of the district.
- To assist in presenting to the public the needs and the progress of Columbia Gorge Community College.
- To provide, by the exercise of its legal powers, the funds it deems necessary to finance the operation of the district.
- To perform the specific duties imposed upon the Board of Education by statutes of the State of Oregon.
- Any duty imposed upon the Board of Education as a body must be performed at a regular or special meeting, and must be a matter of record.
Authority of the Board of Education
Columbia Gorge Community College was established and operates under the authority granted by the Oregon Legislature as contained in the Oregon Revised Statutes.
The Board is subject to the provisions of the Constitution of the state of Oregon, the Oregon Revised Statutes, the rules and regulations of the State Board of Education, its own policies and procedures, and the expressed will of the electorate.
The Columbia Gorge Community College Board of Education shall consist of seven members, four from Wasco County and three from Hood River County, elected by the citizens of Wasco County and Hood River County who reside in the Columbia Gorge district.
Authority of Individual Board Members
The authority of individual Board members is the same as that of any other patron of the district and will receive the same consideration as any other patron of the district in matters of individual concern.
Each individual member of the Board of Education shall carry out those duties prescribed by law for the entire Board of Education. The individual Board member shall not speak for the Board unless authorized to do so by the Board at a regular or special meeting.
Oath of Office
A newly-elected Board member must qualify by taking an oath of office before assuming the duties of office.
OATH OF OFFICE:
I, (name), do solemnly swear to follow the Oregon Constitution and Oregon state laws in fulfilling my duties as an elected Board member of Columbia Gorge Community College.
Terms of Office
Length of terms of office on the Board of Education is four years, beginning each year on July 1 and ending on June 30.
Officers to the Board of Education shall consist of a Chairman and a Vice-Chairman. These officers shall be elected each year by members of the Board, immediately after July 1. This election shall be held at an organizational meeting which may be combined with the regularly scheduled meeting in July or August if no July meeting is held. The position of Assistant to the Board is an appointed position.
The Chairman of the Board of Education shall preside at all meetings of the Board and shall perform all other duties prescribed by law or by the Board. The Chairman shall cause the President or the Assistant to the Board to keep full and accurate records of the proceedings of the Board Meetings.
No member of the Board of Education shall serve as Chairman for more than two years in succession.
The Vice-Chair of the Board of Education, in the absence of the Chairman, shall exercise all of the powers and bear all of the responsibilities of the Chairman.
Compensation and Expenses
The Board of Education and the Budget Committee shall serve the district without compensation for services, other than reimbursement for expenses actually incurred while rendering service to the district.
Travel, meals, lodging, and registration fee expenses shall be reimbursed to members attending Board and Budget Committee meetings and other meetings where the member is representing the district on official business.
Travel will be paid to those Board and Budget Committee members living five or more miles from a meeting site.
Air fare and related expenses will be paid each year for the President and one Board member to attend the American Association of Community and Junior Colleges Convention. If additional Board members wish to attend the dollar amount will be shared between the Board members attending.
Board Member Ethics
Board members will treat with dignity and courtesy other Board members, the President, staff, and members of the public and will provide an opportunity for all parties to be heard with due respect for their opinions.
Board members will recognize the President as the executive officer to whom the Board has delegated administrative authority to establish procedures, oversee the implementation of Board policy and manage the college.
A Board member has the right to express personal opinions. When expressing such opinions in public, the Board member should clearly identify the opinions as his/her own.
A Board member will respect the privacy rights of individuals when dealing with confidential information gained through association with the district.
Board members individually and the Board as a public entity subscribe to the Code of Ethics for public officials provided in State law.
A member of the Board of Education should:
- Understand that the Board sets the standards for the college through Board policy. Board members do not manage the college on a day-to-day basis;
- Understand that the Board makes decisions as a team. Individual Board members may not commit the Board to any action;
- Respect the right of other Board members to have opinions and ideas which differ from yours;
- Recognize that decisions are made by a majority vote and should be supported by all Board members;
- Make decisions only after the facts are presented and discussed;
- Understand the chain of command and refer problems or complaints to the proper administrative office;
- Recognize that the Board must comply with the Public Meetings Law and only has authority to make decisions at official Board meetings;
- Insist that all Board and college business is ethical and honest;
- Be open, fair and honest - no hidden agendas;
- Understand that you will receive information that is confidential and cannot be shared;
- Recognize that the President is the Board's adviser and should be present at all meetings, except when the Board is considering the President's evaluation, contract or salary;
- Take action only after hearing the President's recommendations;
- Refuse to use your position for personal or family gain or prestige. Announce conflict of interests before Board action is taken;
- Refuse to bring personal or family problems into Board considerations;
- Give the staff the respect and consideration due skilled, professional employees;
- Present personal criticism of college operations to the President, not to college staff or at a Board meeting;
- Respect the right of the public to attend and be heard at Board meetings; and
- Respect the right of the public to be informed about college decisions and college operations.
Declaring Board Vacancies
The Board of Education of Columbia Gorge shall declare a vacancy on the Board under the following conditions:
- Death or resignation of an incumbent;
- When an incumbent is removed from office, or election thereto has been declared void by the judgment of a court;
- When an incumbent ceases to be a resident of the district;
- When an incumbent ceases to discharge the duties of office for two consecutive months unless prevented therefrom by illness or other unavoidable causes; or
- When an incumbent has been recalled from office by district voters.
When a vacancy is declared, the remaining members of the Board shall meet and appoint a person to fill the vacancy, selecting from qualified voters of the district. The appointee:
- Will serve until June 30 following the next “election,” at which time the individual elected in May of that year will fill the remaining portion of an unexpired term or serve a full four-year term; or
- Will serve until June 30 of a subsequent “election” year if the vacancy occurs after the filing date in an “election” year.
Conflicts of Interest
No member of the Board of Education will use his/her official position or office to obtain personal financial benefit or detriment or financial gain or detriment for relatives or for any business with which the Board member or a relative is associated.
Business means any corporation, partnership, proprietorship, enterprise, association franchise, firm, organization, self-employed individual or any legal entity operated for economic gain.
Business with which a Board member or relative is associated means any private business or closely held corporation of which a Board member or relative is a director, officer, owner, employee or agent or any private business or closely held corporation in which a Board member or relative owns or has owned stock, another form of equity interest, stock options or debt instruments worth $1,000 or more at any point in the preceding year; any publicly held corporation in which a Board member or relative owns or has owned $100,000 or more in stock or another form of equity interest, stock options or debt instruments at any point in the preceding calendar year; or any publicly held corporation of which a Board member or relative is a director or officer.
No Board member or relative will solicit or receive directly or indirectly during any calendar year any gift or gifts with an aggregate value in excess of $100 from any single source that could reasonably be known to have a legislative, administrative, regulatory, contractual, supervisory or judicial interest in the college.
Relative is defined as a Board member’s spouse, children of the Board member or of the spouse, brothers, sisters and parents of a Board member or of the spouse.
No Board member will solicit or receive, either directly or indirectly, any pledge or promise of futureemployment based on any understanding that the Board member’s vote, official action or judgment would be thereby influenced.
No Board member will attempt to use or use for personal gain any confidential information gained through his/her official position or association with the college. A Board member will respect individuals’ privacy rights when dealing with confidential information gained through association with the college.
Individual Board members and the Board as a public entity are bound by the Code of Ethics for public officials as stated in Oregon law.
Potential Conflict of Interest
Potential conflict of interest means any action or any decision or recommendation by a Board member that could result in a financial benefit or detriment for self or relatives or for a business with which that Board member or relatives are associated, unless otherwise provided by law.
A Board member may, after declaring his/her potential conflict of interest, either vote or abstain on the issue.
Abstaining from a vote does not meet the legal requirement of publicly stating a potential conflict.
Actual Conflict of Interest
Actual conflict of interest means any action or decision or recommendation taken that would result in a financial benefit or detriment to self or relatives or for any business with which the Board member or relatives are associated, unless otherwise provided by law.
A Board member may not vote lawfully if an actual conflict of interest exists unless a vote is needed to meet a minimum requirement of votes to take official action. However, such a vote does not allow the Board member to participate in any discussion or debate on the issue out of which an actual conflict arises.
The Board of Education will purchase liability insurance and errors-and-omissions insurance to protect its members individually and collectively for claims made against them as a result of their official Board actions in the course of their official duties.
